These General Terms and Conditions (GTC) apply to all contracts concluded between us and our customers, regardless of whether they are consumers or entrepreneurs, and regardless of whether the contract is concluded via our online shop or through an individual offer.

§ 1 Scope of Application
These GTC apply to all orders placed via our online shop as well as to individual offers. Deviating conditions of the customer shall not apply unless we expressly agree to them.
§ 2 Conclusion of Contract
The presentation of products in the online shop does not constitute a legally binding offer, but rather an invitation to place an order. By clicking the order button, you submit a binding offer. In the case of individual offers on our part, the contract is concluded upon your written acceptance of our offer via email. The contract comes into effect upon our order confirmation, written confirmation, or delivery of the goods.
§ 3 Right of Withdrawal
Consumers are generally entitled to a right of withdrawal. However, the right of withdrawal does not apply to individually manufactured products, particularly custom-made films (§ 312g para. 2 no. 1 BGB). Please refer to our separate cancellation policy for details.
§ 4 Prices and Payment
All prices include the statutory value-added tax (VAT). Payment shall be made using the payment methods offered during the ordering process or individually agreed upon.
§ 5 Delivery
Delivery will be made to the address specified. The delivery period is usually 4–8 weeks. We are entitled to make partial deliveries insofar as this is reasonable for you. We reserve the right, in justified cases, to deliver only after receipt of payment (reservation of advance payment). Delivery is carried out by us or by a fulfillment service provider commissioned by us. In both cases, we remain your contractual partner.
§ 6 Retention of Title
The goods remain our property until full payment has been received.
§ 7 Inspection Prior to Installation and Consequential Costs
The customer is requested to carefully inspect the delivered goods prior to installation for completeness, conformity with the order, and any visible defects. If installation is carried out without prior inspection, any additional costs for dismantling or reinstallation that could have been avoided by an early inspection cannot be borne by the provider.
§ 8 Warranty
We are liable for material or legal defects of the delivered goods in accordance with statutory regulations, in particular §§ 434 et seq. BGB (German Civil Code). For consumers, the limitation period for statutory defect claims is two years from delivery of the goods. For entrepreneurs, deviating from this, the limitation period is one year from delivery of the goods. This does not affect claims for damages resulting from injury to life, body, or health, or in the case of intentional or grossly negligent breaches of duty. Any additionally granted warranties only exist if they are expressly mentioned in an offer or a product description. Such a warranty does not constitute an extension of statutory defect rights.
§ 9 Note on Solar Module Manufacturer's Warranty
According to a legal expert opinion, the application of our anti-glare films to solar modules does not constitute an "intervention" into the solar module. Nevertheless, we cannot completely rule out that the filming may be evaluated as a modification within the meaning of the solar module manufacturer's warranty conditions. This could lead to the voiding of the voluntary manufacturer's warranty, even if the film is reversible and the functionality of the module is not impaired. We recommend that you check whether and to what extent the warranty is affected by the film prior to its application. We assume no liability for the loss of the manufacturer's warranty or any resulting damages. Statutory warranty claims, however, remain unaffected.
§ 10 Processing Tolerances and Optical Properties
The application of the anti-glare film to solar modules is a manual, artisanal process. Due to the processing methods and environmental conditions during installation, minor optical irregularities (e.g., isolated air or micro-water bubbles, minimal particle inclusions, or slight deviations in edge alignment) cannot be entirely ruled out. By inherent nature, such minimal tolerances have no influence on the contractual durability, weather-induced aging, power output, long-term stability, or product safety of the solar modules. Furthermore, technical reliability and long-term glare protection are ensured by the 15-year functional warranty applicable to the product (in accordance with the separate warranty conditions for XRF Anti-Glare Film). Such purely optical irregularities do not constitute a material defect, provided that the technical functionality remains fully intact and the deviations do not significantly disrupt the overall appearance of the system from a standard viewing distance of at least 3 meters under diffuse daylight.
§ 11 Liability
We are liable without limitation for intent and gross negligence. In the case of slight negligence, we are only liable for damages resulting from injury to life, body, or health, as well as for the breach of essential contractual obligations, but limited to the foreseeable damage typical for the contract.
§ 12 Platform and Hosting
Our online shop is operated on the e-commerce platform Shopify Inc., 151 O’Connor Street, Ground floor, Ottawa, ON, K2P 2L8, Canada. Shopify provides us with the technical infrastructure to sell our products.
§ 13 Terms of Payment and Set-off
The purchase price and shipping costs are due at the times specified in the ordering process. You are not entitled to set off your counterclaims against our claims unless your counterclaims have been legally established or are undisputed. You are also entitled to set off against our claims if you assert notices of defects or counterclaims arising from the same purchase contract. As a buyer, you may only exercise a right of retention if your counterclaim arises from the same purchase contract.
§ 14 Applicable Law and Jurisdiction
German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Karlsruhe, provided that the customer is a merchant (Kaufmann) or does not have a general place of jurisdiction in Germany.
§ 15 Data Protection
Your personal data will be processed in accordance with applicable data protection regulations. Further details can be found in our privacy policy, available on our website.
§ 16 Severability Clause
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
§ 17 Duty to Report Obvious Defects
Obvious defects must be reported to us in writing immediately, at the latest within two weeks after receipt of the goods. Otherwise, the goods shall be deemed approved. This does not apply to consumers.
§ 18 Force Majeure and Delivery Delays
Delivery delays caused by force majeure or unpredictable events for which we are not responsible shall extend the delivery period accordingly. If the delay lasts longer than three months, both parties are entitled to withdraw from the contract.
§ 19 Transfer of Risk
In the case of entrepreneurs, the risk passes to the customer upon handover to the forwarder. In the case of consumers, this only occurs upon handover of the goods to the consumer.
In the event of deviations between the German version of these GTC and this translation, the German version shall prevail.
